KEY POINTS

  • Orion Minerals has appointed Thomas Borman as its incoming nonexecutive chairperson from November 26, 2026.
  • Borman is the company’s largest shareholder, with a 14.3% stake.
  • Denis Waddell will retire after nearly 18 years, while Godfrey Gomwe becomes senior independent nonexecutive director.

Orion Minerals has appointed Thomas Borman as its incoming nonexecutive chairperson as the South African mining company prepares to move from project development towards mine construction and production.

The Johannesburg Stock Exchange (JSE)- and Australian Securities Exchange (ASX)-listed metals explorer and developer announced that Borman will join its board as a director and assume the chairperson’s position after its annual general meeting (AGM) on November 26, 2026.

He will serve as a director until the company’s 2027 AGM, when he will stand for re-election.

Orion Minerals said Borman’s appointment forms part of its board succession and renewal strategy as the company approaches a critical stage in its development.

The company is working towards transitioning its mining projects from development into construction and eventual production, with backing from global diversified mining company Glencore.

Borman brings extensive international mining and corporate leadership experience to the position. He spent more than 11 years at global mining giant BHP, where he held senior management positions covering corporate finance, strategy and business development.

He later joined the executive team at Warrior Coal Investments, which established and consolidated the portfolio of assets that eventually became the Optimum Group of companies.

Borman becomes Orion’s largest shareholder

The incoming chairperson is already familiar with Orion Minerals, having previously served as a nonexecutive director between April 2019 and October 2023.

Since leaving the board, he has significantly increased his investment in the company and is now its largest shareholder, holding a 14.3% stake in its issued shares.

Borman expressed optimism about Orion’s prospects, citing its progress towards mine construction and production and the support of Glencore.

He said the company was entering an exciting period in its development as it advanced towards the next stage of its mining operations.

As part of the board restructuring, Orion independent nonexecutive director Godfrey Gomwe will become the company’s senior independent nonexecutive director after the November 26 AGM.

Gomwe has been a member of the board since April 2019 and currently chairs the company’s audit committee.

The appointment is intended to strengthen independent oversight as Orion implements its leadership succession plans
