EQT Corporation has agreed to acquire Range Resources in an all-stock transaction valued at more than $50 billion, including debt, in a deal expected to create the largest vertically integrated natural gas producer in the United States.
Announced on October 26, 2026, the transaction will expand EQT’s natural gas production, strengthen its infrastructure network and increase its drilling inventory as demand for the fuel grows, particularly from data centres.
Under the agreement, Range Resources shareholders will receive 0.987 EQT shares for every share held. Based on Reuters calculations using LSEG shareholding data, the offer values Range Resources’ equity at approximately $12.83 billion.
The implied offer price of $54.91 per share represents a 20.6 per cent premium over Range Resources’ closing share price on Friday.
Deal creates major US natural gas producer
The combined business is expected to produce more than nine billion cubic feet of natural gas equivalent per day, making it a major player in the US energy market.
The companies will also control nearly three million net acres in the Appalachian Basin, a significant natural gas-producing region. Their combined assets include more than 30 years of drilling inventory and approximately 3,700 miles of midstream infrastructure.
The expanded portfolio is expected to strengthen EQT’s ability to produce, transport and market natural gas. Combining production assets with infrastructure and marketing operations will give the company greater control over more stages of the supply chain.
The acquisition comes as demand for natural gas rises, driven partly by the growing electricity requirements of data centres. The expansion of artificial intelligence and other digital services has increased interest in reliable energy supplies, encouraging producers to expand output and secure additional resources.
EQT shareholders to retain majority ownership
Under the proposed ownership structure, EQT shareholders will own approximately 73 per cent of the combined company, while Range Resources investors will hold the remaining 27 per cent.
EQT’s existing executive management team will lead the enlarged business, and its headquarters will remain in Canonsburg, Pennsylvania.
Following the completion of the transaction, two representatives from Range Resources, including its chief executive officer, Dennis Degner, are expected to join EQT’s board of directors.
The deal is expected to close in the first quarter of 2027, subject to regulatory approvals and approval from shareholders.
The companies have presented the acquisition as a way to combine their assets and operations while improving efficiency across the business.
Deal targets lower costs and higher savings
EQT expects the acquisition to reduce its free cash flow breakeven point to below $2 per million British thermal units, a measure of the amount it needs to earn from natural gas to cover relevant costs and generate free cash flow.
The company also anticipates annual savings of approximately $325 million within two years of the transaction’s completion.
The projected savings are expected to come from efficiencies in corporate operations, production activities and marketing.
If achieved, the cost reductions could strengthen EQT’s financial performance and improve its ability to withstand fluctuations in natural gas prices.
However, the projected benefits will depend on the successful integration of both businesses and the realisation of the anticipated operational and commercial efficiencies.
Market responds to acquisition announcement
Financial markets reacted differently to the announcement.
EQT shares fell 4.6 per cent in premarket trading, while Range Resources shares rose 10.1 per cent. The movements reflected contrasting immediate responses to the proposed transaction, with Range shareholders offered a premium over the company’s previous closing price.
The acquisition represents a major consolidation in the US natural gas industry as producers position themselves to meet rising demand and strengthen their competitive advantages.
For EQT, the transaction offers an opportunity to increase production, expand its infrastructure and improve cost efficiency. For Range Resources investors, it provides an exit through shares in the larger combined business while allowing them to retain an ownership stake in the expanded company.
